Mayer will leave Yahoo following its sale to Verizon with more than $186 million in payouts, with the bulk of the compensation tied to her Yahoo stock, stock options and restricted stock options, according to calculations by the Wall Street Journal. This is known as 'golden parachute' compensation, where she is due to receive $3 million in cash, $24,000 in benefits, and $19,971,367 in equity.

Yahoo also disclosed in the filing Monday that it owns 4.6 million shares of Snap, the maker of Snapchat.

Verizon is buying the internet company for $4.5 billion, with the deal expected to close in June.

Under Mayer's leadership, Yahoo experienced two unprecedented security breaches affecting more than 1 billion users accounts - with the 2014 incident traced to Russian spies. The breach also caused Verizon to shave $350 million off the previous sale price of $4.8 billion.

A yes vote, the widely expected outcome, would bring CEO Marissa Mayer's unsuccessful five-year effort to revive the fortunes of the company to an end. The stake had made Yahoo an appealing way for US investors to invest in Alibaba before its IPO, helping to drive up Yahoo's share price in the mean time.

That compensation would be fully vested at the time of the shareholder vote, and would not include her salary and bonuses over the past five years, or the value of other stock that Mayer had already sold. Mayer, along with other Yahoo execs, will receive accelerated vesting of all stock options and other equity awards under the terms of the Verizon sale.

Mayer's plan was initially to expand Yahoo's content business.

However Mayer would be well compensated for her failure.

That said, the company's stock price has more than tripled on her watch (although the gain has more to do with the rise in value of Yahoo's investments in Alibaba and its Japanese joint-venture than in Yahoo's core business).

"People give Mayer a hard time because she was supposed to be some kind of product genius: 'She didn't create the next Snapchat inside Yahoo so she didn't succeed, '" Espelien said. This venture will be spearheaded by Thomas McInerney, a Yahoo director who carried out the Verizon deal.
